The Corporate Transparency Act (CTA), which took effect January 1, 2024, requires many small companies, partnerships, and even foundations to report who owns and controls them to the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN).
Presented by Pierce Atwood litigation and corporate compliance partner Kathleen Hamann, this program is designed to assist in understanding:
- Why the law was passed
- The purpose of the filings and who has access to them
- The federal enforcement agencies involved and their terminology
- The primary exemptions to the CTA and how to cut through some of the regulatory language
- What filing entails and some shortcuts to make it easier

Pierce Atwood attorney Kathleen Hamann is a former federal prosecutor and law enforcement treaty negotiator with extensive experience working with federal enforcement authorities, including FinCEN. During her time with the federal government, she helped develop some of the primary mechanisms for international law enforcement cooperation, including tracking beneficial ownership, the target of the CTA.
