MEMIC Acquisition of The Dakota Group

Pierce Atwood provided legal counsel to the MEMIC Group in its acquisition of The Dakota Group, a South Dakota workers compensation insurance group, including Risk Administration Services, Inc. (RAS), its control of Dakota Truck Underwriters, a South Dakota reciprocal insurance exchange, a majority interest in First Dakota Indemnity Company, a South Dakota stock insurer, and RAS’s three affiliated service companies. 

This strategic combination positions MEMIC as the third-largest multi-state workers’ compensation specialist in the United States, with estimated combined 2025 writings of more than $600 million and coverage for over 25,000 businesses nationwide. Both organizations are rated A (Excellent) by A.M. Best. The transaction was a complex deal, involving multiple entities and an extensive regulatory overlay in numerous states. Pierce Atwood provided comprehensive legal coverage including management of all transactional, regulatory, and tax matters.
