Experience

Scott maintains a practice focused on emerging companies, early and late stage venture capital transactions, mergers and acquisitions, and public and private offerings of securities, while providing day-to-day counsel to his clients.  Scott's clients have included both public and privately held software, computer hardware, telecommunications, life sciences and other technology companies, as well as companies involved in alternative energy and more traditional businesses.

Before joining Pierce Atwood in June 2002, Scott was a partner with Hale and Dorr LLP in its Boston, Massachusetts and Reston, Virginia offices.

Scott has acted as counsel to buyers and sellers, issuers, investors and underwriters in numerous private placements, mergers, acquisitions, divestitures and public offerings. He has also represented many public companies on an ongoing basis with respect to corporate governance, securities law reporting and compliance and other corporate matters. Scott's experience includes:

  • Representation of a developer of renewable energy facilities in a series of tax exempt bond financings, raising $127 million, $15 million in a preferred stock and warrants PIPE for a private placement of common stock and five underwritten public offerings, while providing ongoing advice to this client with respect to securities law reporting and compliance, corporate governance and general corporate matters.
  • Representation of the underwriter in a $24 million public offering of common stock by a bank holding company.
  • The acquisition of the construction solutions software division of a Hungarian software company by a venture-backed U.S.-based startup company.
  • The acquisition of a Swedish developer of mobile phone software by a content aggregator and wireless solutions developer for the PDA and mobile phone markets.
  • The spinoff/acquisition of software assets and seed and Series A, B and C preferred stock financings of a developer of web-enabled map-based software for use by local governments and utilities in the management of infrastructure assets.
  • The acquisition of stock of a developer of hydrolic and hydrologic engineering software solutions for the water resources industry by a developer of collaborative architectural, construction and engineering software.
  • Representation of a venture capital fund in its investments in a developer of demand chain management software, a developer of clinical billing and practice management software and a developer of wind energy facilities.
  • The merger of a developer of design software for the civil engineering industry with a developer of collaborative architectural, construction and engineering software.
  • The formation, seed financing and Series A preferred stock financing of a software development company serving architecture, engineering, construction and owner-operator organizations.
  • The merger of a developer of electronic document management software with a publicly held provider of financial resource management software and services.
  • A $1.6 billion public offering of common stock and convertible debt securities for a telecommunications equipment manufacturer.
  • A $147 million follow-on public offering for a provider of health care information technology.
  • A $230 million private placement of debt securities pursuant to Rule 144A and a subsequent exchange offer for a specialty papers manufacturer.
  • The acquisitions of two privately held software companies for a publicly held provider of data storage management software.
  • The merger of a publicly held provider of enterprise content management software with a publicly held aggregator of Web-based technologies.

Scott is included in The Best Lawyers in America for Corporate Law and Securities Law.

Professional Activities

Scott serves as an Adjunct Professor at the Franklin Pierce Law Center in Concord, New Hampshire, where he teaches a course on mergers and acquisitions.  Scott is also a member of the firm's Management Committee.

Civic Activities

Scott serves on the Board of Trustees of Strawbery Banke Museum, Inc., Portsmouth, New Hampshire, a living history museum in one of Portsmouth's most historic areas.

Education

Scott received his J.D. degree, magna cum laude, from Boston College Law School, where he was a staff writer and topics editor for the Boston College Law Review. He received a B.S. in Foreign Service, magna cum laude, from Georgetown University’s School of Foreign Service, where he was named a School of Foreign Service Scholar.

Scott is admitted to practice in Massachusetts, New Hampshire and Virginia.
