David has been a member of Pierce Atwood since 1987. He is partner in the firm's Business Practice Group, and is one of the principal lawyers involved in corporate, finance, and general transactional representation. His work involves all aspects of corporate, securities, and commercial law, focusing on representing corporate and individual clients in a wide variety of transactional settings. David’s experience includes mergers and acquisitions, securities law, special purpose entities such as limited liability companies, venture capital financing, and S.E.C. reporting and compliance.
Prior to joining the firm, David practiced securities and corporate law as an associate with Sullivan & Cromwell, New York.
David is included in the 2010 edition of The Best Lawyers in America and Chambers USA: America’s Leading Business Lawyers for corporate, M&A, and securities law.
David was a member of the drafting committees for: Maine Revised Uniform Limited Partnership Act, Maine Limited Liability Company Act, Revised Maine Business Corporation Act, and Revisions to Maine Non-Profit Corporation Act. He is also the author of “Fiduciary Duties of Corporate Directors and Majority Shareholders After Rosenthal,” Maine Bar Journal, (July 1992) and he is also the co-author, with Jon. S. Liland, of “The Revised Maine Securities Act” in Maine Corporation Law And Practice, 2d Ed. (J. Zimpritch, Tower Publishing, 2005).
David is a member of the Maine State Bar Association, and served as the chair of the Business Law Section in 2001. He is also a frequent speaker on corporate and securities law matters, including co-chairing and presenting at a recent panel sponsored by the Maine State Bar Association on acquisitions and sales of businesses.


David holds an A.B. degree cum laude from Harvard University (1981) and a J.D. from the University of Virginia School of Law (1984), where he was an editor of the Virginia Law Review from 1982 to 1984.
David is admitted to practice in New York, Massachusetts and Maine.
