Kevin is a corporate transactional lawyer with deep banking industry knowledge and litigation and enforcement experience. In private practice, Kevin has assisted bank and bank holding company clients form holding companies, buy and sell branches, acquire bank and nonbank subsidiaries, complete successful merger transactions, raise capital, negotiate executive employment agreements, amend and convert charters and bylaws, relocate between states, resolve regulatory enforcement proceedings, defend trademark rights, recover bond claims, purchase loan participations and complete tax-advantaged investments, among other transactions.
Some of Kevin's career highlights include:
- Represented the Federal Reserve Board in the U.S. Supreme Court (BankAmerica/Schwab).
- Negotiated the standard terms of savings bank holding company approvals by the Federal Reserve ("Wake Bancorp" commitments).
- Assisted a bank client acquire 13 divested Shawmut Bank branches.
- Assembled the first 3-bank mutual holding company in Massachusetts.
- Completed the first mutual holding company reorganization of a Rhode Island savings bank.
Kevin was a law clerk in the Office of the Comptroller of the Currency while attending law school. He began his legal career as an Economic Crime prosecutor in Brooklyn, New York. Kevin then returned to Washington to represent the Federal Reserve Board nationwide in bank regulatory and enforcement litigation. Kevin entered private practice with Goodwin Procter & Hoar in 1987. Kevin has been a partner in Pierce Atwood's Boston office since 2008. Kevin is an avid runner who placed in top 11% of finishers in his division in the 115th Boston Marathon (2011).
Recent Experience
- Supervisory mutual to stock conversion and $60 million recapitalization of a distressed Maine savings bank.
- Represented underwriters in separate $25 million and $30 million secondary common stock offerings.
- Recovered $3.5 million fidelity bond claim for a New England credit union.
- Negotiated withdrawal of regulatory threat of civil money penalties for fair lending violations.
